Chapter One

Chapter One General Provisions

Article One:
Emei Wushu Federation is the English name of the organization. The abbreviation is EWF.
Article Two   
Character:
Initiated by organizations including the Buddhist Association of Mt.Emei, Xichang Guangfu Temple and Pengzhou Sanmei Buddhist Temple with the Buddhist Association of Mt. Emei as the main body,this Federation is a non-profit organization for the study, inheriting and promotion of Emei martial arts. It enjoys independent legal person status, conforms to the supervision of the Buddhist Association of Mt. Emei in terms of administration and follows instructions from relevant national regulatory organizations for martial arts in terms of operation.
Article Three    
Purpose:
To support the leadership of the Communist Party of China, abide by the constitution of the People’s Republic of China, laws, regulations, policies and morality, and to unite all domestic and overseas people who uphold martial virtues and love martial arts so as to inherit and promote Emei martial arts, cultivate national thoughts and feelings, build up the people’s health and promote social harmony.

Chapter Two

Chapter Two   Business Scope

Article Six     Business scope of this organization:
1. Solicitation of institutional and individual members;
2.Organizing large-scale competition and martial arts performance;
3.Talent cultivation and professional training;
4.International martial arts communication and development of relevant industries;
5. Certification and issuance of Emei Martial Arts Grading
6. Cultural research of martial arts, Buddhism, tea, health preservation et cetera.
Article Seven   All businesses are subject to independent fund-raising, independent operation and responsibility for its own profits and losses.

Chapter Three

Chapter Three    Membership and Grading System

Article Eight     Members of the Federation include both institutions and individuals.
Article Nine
     Eligibility of membership:
1. Supporting the Federation’s Articles of Association;
2. Wiling to join the Federation;
3. Influential in martial arts sector or field of study;
4. Enthusiastic with Emei martial arts and willing to contribute manpower and ideas to the development of Emei martial arts.
Article Ten
    Procedures of membership application and principles for the establishment of branches:
1. Submission of membership application letter;
2. Institutional members have to pass the discussion of the Standing Council, and individual members have to be passed organizations authorized by the Standing Council;
3. Membership cards are issued by the Standing Council or its authorized organizations.
4. Solicitation of institutional members and establishment of branches shall follow the principle of from the near to the distant.Establishment of branches shall follow Branch Articles of Association (Branch Articles of Association attached separately);
5. The Federation does not establish provincial (primary) branches in Sichuan province, but secondary branches may be established in cities and prefectures. Tertiary branches may be established in counties. Competent schools and societies may establish secondary and tertiary branches. And other provinces may establish provincial branches. All branches established within China shall be registered at the local civil affairs authority and obtain independent legal person status. National branches named after the host country may be established in other countries. All branches shall be registered by the name of “Emei Martial Arts      Branch” in accordance with Branch Articles. Branches shall be established step by step.
6. Primary branches need at least 500 members, secondary 300 and tertiary branches need more than 100 members.
Article Eleven
   Members shall have the following rights:
1. The right to elect, the right to be elected and the right to vote within the Federation;
2. The right to attend the Federation’s various activities;
3. Preference for the Federation’s various services and advice;
4. The right to criticize, advise and supervise the Federation’s work;
5. Membership application shall be out of the applicant’s own willingness, and members are free to withdraw their membership;
6. Members can attend research and study lectures on Emei martial arts organized by the Federation free of charge twice a year;
7. Each branch will have independent legal person status, independent financing and independent accounting, and shall be responsible for its own profits, losses and liabilities.
8. Branch Presidents and Secretary Generals shall be Council members of the general Federation automatically and shall have the preference to be elected as members of the Standing Council.
Article Twelve
    Responsibilities of members:
1. Executing all the resolutions of the Council;
2. Protecting the Federation’s legal rights and reputation;
3. Participating actively in various activities organized by the Federation;
4.Paying membership fees on time (once every four years);
5. Reporting to the Council and providing relevant materials;
6. Strictly keeping the Federation’s technical secrets confidential.
Article Thirteen
   Grading system of Emei martial arts:
Only members of the Federation can apply for grading of Emei martial arts.
Grade 1 to grade 3 shall be promoted according to unified teaching materials. The assessment of Grade 4 to grade 6 may follow the criteria of the specific martial art type. For members with over five years’ martial practice and relatively strong skills, grading assessment will be applied to determine the Grade.
Organize the composition of brief, practical and operational Chinese and English teaching materials of Emei Martial Arts;
Emei Martial arts have grade uniforms. People of grade 1 to grade 3 wear the same uniform, and people of grade 4 to grade 6 wear another type of uniform. Different grades are classified by different waistbands.
Article Fourteen    In case of withdrawal of membership, the member shall inform the Council in writing and return the membership card. A member can be dismissed by vote of the Council or the Standing Council in case of severe violation of the Articles of Association.

Chapter Four

Chapter Four    Institutional Framework

Article Fifteen    The highest authority of the Federation is the General Members’ Conference. Its responsibilities are:
1. Composing and revising the Articles of Association;
2. Electing and dismissing Council members;
3. Deliberating on the Council’s work report and financial report;
4. Deciding termination matters;
5. Deciding on other important matters.
Article Sixteen
     The General Members’ Conference shall only be held at the presence of more the 2/3 of the members, and its resolutions shall only be passed with over half of the attending members’ approval.
Article Seventeen
   The General Members’ Conference shall be held every two years, with each term lasting four years. Bringing forward or delaying under special circumstances shall be passed by the Council’s voting and approved by the organization registration authority of the Federation. Nonetheless, it cannot be brought forward or delayed by more than one year.
Article Eighteen
     The Council is the executive body of the members’general conference.  It operates on behalf of the Federation and is responsible to the General Members’ Conference during its adjournment.
Article Nineteen
     Responsibilities of the Council:
  1. Implementing resolution of the General Members’ Conference;
2. Electing and dismissing the President, Vice Presidents and the Secretary General;
3. Preparing for the General Members’ Conference;
4. Reporting to the General Members’ Conference on its work and financial conditions;
5. Deciding on the acceptance and dismissal of members;
6. Deciding on the establishment of administrative bodies, branches, representative organizations and entities;
7. Deciding on the employment of Vice general-secretaries and principals of each organization ;
8. Composing internal management systems;
9. Deciding on important matters.
Article Twenty
   Council meetings shall only be held at the presence of over 2/3 of all Council members and its resolutions shall only be passed by over 2/3 of approving votes.
Article Twenty-one
   The Council meeting shall be held once a year. Under special circumstances it can be held in the form of teleconference.
Article Twenty-two
   Establishing Standing Council, which consists of the President, Vice Presidents and the Secretary General. It exercises the responsibilities of the Council meeting stipulated in items 1, 3, 5, 6,7, 8 and 9 under Article Eighteen and is responsible to the Council meeting. The number of members of the Standing Council shall not exceed 1/3 of the number of Council members.
  Article Twenty-three   Meetings of the Standing Council can only be held at the presence of over 2/3 of the Standing Council members, and its resolutions have to be passed by over 2/3 of all votes.
Article Twenty-four
    The meeting of the Standing Council should be held every half a year. Under special conditions, it can be held in the form of teleconference.
Article Twenty-five      In the
Federation the Standing Council takes full responsibility, and the President of the Federation shall be the principal of the Standing Council.
Article Twenty-six
    The President, Vice Presidents and the Secretary General shall satisfy the following conditions:
1. Supporting the leadership of the Communist Party of China and having relatively high cultural attainments.
2. Working on and loving Emei martial arts, and having certain fame in this sector.
3. President, Vice Presidents and the Secretary General shall not be older than 70. The Secretary General shall work full time.
4. Healthy, and capable of daily work;
6. Having full capacity for civil conduct;
7. The President’s meeting can only be held at the presence of over 2/3 Vice Presidents. In principle, it should be held once each season.
Article Twenty-seven
    In case the President, Vice President, or the Secretary General exceeds the age limit of the position, he/she can only stay in office after the approval of the Council and the permission of the Federation’s organization registration authority.
Article Twenty-eight
    The President, Vice Presidents and the Secretary General serve four-year terms. They may be reelected successively. The President shall be a master (monk) who is capable of organization, principled and well-cultivated in both kindness and wisdom. He/ she must also have a big influence in the sector.
Article Twenty-nine
    The President shall be the legal representative of the Federation. The legal representative becomes official only after the approval of the organization registration authority.
Article Thirty
    The President shall have the following power:
1. Presiding over President’s official meetings, Council meetings and meetings of the Standing Council;
2. Inspecting the implementation of resolutions made by the General Members’ Conference, Representative Members’ Meetings , meetings of the Council and meetings of the Standing Council.
3. Signing important documents on behalf of the Federation;
4. Auditing and managing the Federation’s finance;
5. Power of Vice President:
1).The Federation shall have an executive Vice President who is authorized by the President to preside over the Federation’s operation and execute the President’s power during the President’s absence.
2).Vice Presidents shall strictly fulfill regular work and tasks assigned by the President according to “system of Vice Presidents’ responsibility division”.
Article Thirty-one
    The Secretary General shall have the following power:
1. Convening the President’s official meetings, Council meetings and meetings of the Standing Council, and carry out the annual work plan;
2. Coordinating the work of various branches, representative organizations and entities;
Nominating Vice Secretary Generals and principals of administrative bodies, branches, representative organizations and entities;
4. Taking responsibility for the office of the Federation and external publicity, and assisting the President on other matters.
Article Thirty-two    According to actual needs of this Federation, positions of “Four Executives” are set up. The Four Executives are representative figures of Emei martial arts. Their responsibility is to decide the implementation of important matters of the Federation. They are directly responsible to the President. Executives shall serve for life provided that they are not penalized by the party’s principles, the nation’s laws or the Articles herein.

Chapter Five

Chapter Five     Asset Management

Article Thirty-three     Source of fund:
1. Membership fees and grading charges;

2. Donations;
3. Government grants;
4. Services within the certified business scope;
5. Interests;
6. Film and television production, CDs, books, instruments and martial uniforms;
7. Other income.
    Article Thirty-four   The Federation charges membership and grading fees according to relevant regulations of the country (RMB3,000 annually for level 1 institutional members; RMB 2,000 annually for level 2 instituional members; RMB1,000 annually for level 3 institutional members; RMB50 annually for individual members. Fifty percent of individual membership fees collected by institutional members shall be delivered to the Federation. Grading fee is temporarily set at RMB100 for each grade, another RMB100 will be charged for the upgrading of each level. (that is RMB200 for grade 2, RMB300 for grade 3, so on and so forth). Seventy percent of the grading fees collected by institutional members shall be delivered to the Federation).
Article Thirty-five
     Funds shall be used for the business scope stated in the Articles of Association and shall not be distributed among members.
Article Thirty-six
      The Federation manages its finance according to the finance management regulations concerning the nation’s non-profit organizations, and implements a two-line accounting supervision of incomes and expenses. In case of transfer or dismissal of accountants, handover audit shall be done.
Article Thirty-seven
    The asset management of the Federation shall be supervised by the General Members’ Conference and the Buddhist Association of Mt. Emei. Assets allocated by the government and from social donations or assistance shall be audited by relevant authorities, and the auditing results shall be published in an appropriate way.
Article Thirty-eight
   In case of changing the term of office or the legal representative, an audit shall be done by the organization registration authority and other relevant authorities.
Article Thirty-nine
    The Federation’s assets shall not be seized, distributed privately and embezzled by any organizations or individuals.
Article Forty     The Federation shall sign employment agreements with its staff members. The salary and fringe benefits shall be in accordance with regulations of the country’s public institutions.

Chapter Six

Chapter Six      Revision of the Articles

Article Forty-one    Any revision to the Articles of Association shall be passed by vote of the Council meeting or the Standing Council’s meeting and deliberated on by the General Members’ Conference and the Representative Members’ Meeting.
Article Forty-two     Revisions to the Articles of Association shall be reported to the organization registration authority for approval within 15 days after they are passed by the General Members’ Conference or the Representative Members’ Meeting.   

Chapter Seven

Chapter Seven    Termination Procedure

Article Forty-three    In the event that the Federation needs to be terminated in case of completion of its purposes, dissolution, division or merger, a termination motion shall be made by the Council meeting or the Standing Council’s meeting.
Article Forty-four
    A termination motion shall be passed by vote of the General Members’ Conference or the Representative Members’ Meeting.
Article Forty-five
      In case of termination incoming, the Federation shall form a clearing team and manage remaining matters under the instruction of relevant authorities. No other activities shall be organized during the clearing.
Article Forty-six
        The Federation shall be terminated upon the write-off by the organization registration authority.
Article Forty-seven      After its termination, the remaining assets shall be used, under the supervision of the Buddhist Association and the organization registration authority, for public welfare establishments that comply with the Federation’s purposes.

Chapter Eight

Chapter Eight    Supplementary Provisions

Article Forty-eight      In case of these Articles of Association contradicting relevant laws and regulations, relevant laws and regulations shall prevail.
Article Forty-nine
       The right of interpretation of the Articles of Association shall fall on the Council meeting of Emei Wushu Federation.
Article Fifty     The Articles of Association herein shall take effect after approval by vote of the General Members’ Conference and certified by the organization registration authority.
